INTRODUCTION
This Amendment No. 4 amends and supplements the Rule 13e-3 Transaction Statement on Schedule 13E-3 that was filed by COSCIENS Biopharma Inc. (referred to herein as “Company” or “subject company” or “filing person”) with the Securities and Exchange Commission (the “Commission”) on April 4, 2026, as amended by Amendment No. 1 filed on May 4, 2026, Amendment No. 2 filed on May 8, 2026, and Amendment No. 3 filed on May 12, 2026 (the “Transaction Statement”).
This Amendment No. 4 to the Transaction Statement is accompanied by a Notice of Annual and Special Meeting of Shareholders and Management Proxy Circular (the “Circular”), distributed to holders of common shares of the Company, no par value per share (“Common Shares”), in connection with an annual and special meeting of the shareholders of the Company anticipated to be held on June 17, 2026. Simultaneously with the filing of this Statement, the Company has filed as exhibits to a Form 6-K, dated May 20, 2026, the Circular and final form of proxy distributed to the Company’s shareholders.
At such meeting, the shareholders of the Company will vote upon a special resolution, which, if adopted, will authorize amendments to the Company’s articles to: (i) consolidate the Common Shares on the basis of one (1) post-Consolidation Common Share for every 150 pre-Consolidation Common Shares (the “Consolidation Ratio”“); and (ii) immediately following the Consolidation, split the post-Consolidation Common Shares on the basis of 50 Common Shares for every one (1) post-Consolidation Common Share (collectively, the “Share Capital Amendment”). Shareholders with positions representing a number of Common Shares less than the Consolidation Ratio (individually, and not in the aggregate) will cease to hold such Common Shares and will be entitled to receive an amount in cash per pre-Consolidation Common Share equal to U.S.$1.60 (the “Consolidation Consideration”), rounded down to the nearest whole cent.
